Terms and Conditions

These Terms and Conditions constitute a legally binding agreement between you and US Passport Assist LLC (from now on referred to as the “Service Provider”), governing your access to and use of uspassportassist.com (from now on referred to as the “Website”) and the passport application assistance services made available through the Website.

1. Acceptance of Terms

By accessing or using the Website, purchasing the Services, or submitting an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and any policies incorporated by reference, including the Privacy Policy and Refund Policy. If you do not agree to these Terms, you should not use the Website or Services.

Your use of the Website and Services is also subject to all applicable federal, state, and local laws and regulations.

2. Eligibility and User Responsibilities

By placing an order, purchasing services, or accepting these Terms, you represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity and authority necessary to enter into and be bound by these Terms. Where services are requested on behalf of a minor applicant, you represent and warrant that you are the minor's parent, legal guardian, or other person legally authorized to act on the minor's behalf.

You are solely responsible for ensuring that all information, documentation, and materials submitted in connection with the services are accurate, complete, current, authentic, and provided with proper authorization. The Service Provider shall be entitled to rely upon the information and materials provided by you and shall not be responsible for delays, errors, or other consequences arising from inaccurate, incomplete, misleading, or unauthorized submissions, except to the extent otherwise required by applicable law.

3. Reservation of Rights and Service Modifications

The Service Provider reserves the right, at its discretion and subject to applicable law, to modify, restrict, suspend, or discontinue any portion of the Website, services, features, or functionality when reasonably necessary. The Service Provider may also revise these Terms from time to time, with any changes becoming effective as provided in the updated Terms or as otherwise required by applicable law.

To the fullest extent permitted by law, the Service Provider shall not be responsible for delays, interruptions, or losses resulting from circumstances beyond its reasonable control, including unforeseen events that materially affect the availability or operation of the Website or services. All rights not expressly granted under these Terms remain reserved.

4. Scope of Services and Order Requirements

The Service Provider offers independent passport application assistance services designed to support customers in preparing and reviewing materials related to their U.S. passport applications. Depending on the service selected, the assistance provided may include preparation and review of application forms, review of submitted information and photographs, preparation and reasonable adjustment of photographs for passport application purposes, identification of incomplete or potentially inconsistent information, preparation of application materials, and provision of instructions regarding applicable submission requirements.

The Service Provider is a privately operated business and is not affiliated with, endorsed by, or acting on behalf of the U.S. Department of State or any other federal, state, or local government agency. The Service Provider does not issue passports or make determinations regarding passport eligibility, acceptance, approval, or issuance. Customers may apply for a U.S. passport directly through official government channels without using the services of the Service Provider.

The services are performed based upon the information, documents, photographs, and other materials submitted by the customer. The Service Provider is entitled to rely upon such materials in providing the services requested and is not responsible for independently verifying their authenticity or accuracy unless expressly included within the applicable service. The customer remains responsible for ensuring that any photograph submitted is a true and current likeness of the applicant.

The Service Provider reserves the right to place an order on hold, request additional information or documentation, or decline or discontinue services where the information provided is incomplete or inconsistent, where additional information is reasonably necessary to perform the requested service, or where the Service Provider reasonably suspects fraud, unauthorized use of information or documents, unlawful activity, or other circumstances that prevent the proper provision of the service.

5. Fees, Payment Terms and Service Commencement

Fees for services are determined by the service type and processing option selected at the time an order is submitted. By placing an order, you agree to pay all applicable charges presented to you at checkout and authorize the Service Provider, or its designated payment processor, to charge the payment method provided for the total amount shown. Unless expressly stated otherwise at checkout, your payment method may be authorized when the order is placed, and the applicable charge may be completed at a later time in connection with the processing of your order.

Payment authorizations may remain valid only for a limited period. If an authorization expires before the applicable charge is completed, the Service Provider may request that the customer provide or authorize payment again before processing continues.

Service fees are separate from fees imposed by the U.S. Department of State or other governmental authorities. Depending on the application type and service selected, the customer may be required to provide payment of applicable government fees separately by check, money order, or other accepted method, or the Service Provider may collect the applicable amount from the customer and prepare the required government payment on the customer's behalf. The customer will be informed of the applicable payment requirements and whether government-fee payment must be provided separately or has been collected and will be included with the application materials prepared for the customer.

Where an additional fee becomes applicable due to a customer-requested service change, upgrade, fee difference, or other applicable adjustment, the Service Provider may request additional payment. Any such additional charge shall be made only with the customer's authorization.

Performance of the selected service may commence once the order, required information, and applicable payment authorization have been successfully received. Orders may be processed according to the service level and processing option selected by the customer. The Service Provider reserves the right to modify pricing or service offerings from time to time; however, such modifications will not ordinarily affect the price of a previously accepted order.

If a payment is declined, reversed, disputed, or otherwise not successfully completed, the Service Provider reserves the right to suspend or withhold further performance of the applicable services until the payment matter has been resolved, subject to applicable law. In the event of any billing concern or dispute relating to a charge, you agree to use the applicable dispute-resolution procedure and provide the Service Provider with a reasonable opportunity to investigate and resolve the matter before initiating a chargeback or other payment dispute, to the extent permitted by applicable law.

Any outstanding amounts owed in connection with the services may be subject to reasonable collection efforts, including recovery of applicable collection costs, fees, and expenses, to the extent permitted by law.

Refunds and cancellations are governed exclusively by the Refund Policy, which is incorporated into these Terms by reference.

6. Disclaimer

The Website, services, content, and related materials are provided for the purpose of assisting customers in connection with the passport application process. While the Service Provider undertakes reasonable efforts to maintain the accuracy, reliability, and currency of the information and services made available, the Service Provider makes no representation or warranty that all information will at all times be complete, current, error-free, or suitable for every individual circumstance.

A customer's individual expectations, assumptions, anticipated benefits, or intended results may not necessarily correspond with the actual outcome of the services provided. Any such difference shall not, by itself, constitute a failure, deficiency, or improper performance of the Service Provider's obligations where the services have been duly and substantially performed in accordance with the scope, terms, and specifications of the service purchased. Unless expressly agreed otherwise, subjective expectations or anticipated results that extend beyond the stated scope of the services shall not create additional obligations, representations, or warranties on the part of the Service Provider.

The Service Provider makes no representation, warranty, or undertaking as to the continuous, uninterrupted, timely, or error-free availability or operation of the Website or services, and shall not be deemed to warrant the absence of technical failures, system interruptions, transmission delays, temporary unavailability, maintenance-related disruptions, or other operational circumstances that may affect access to or functionality of the Website or services.

Requirements, procedures, application forms, governmental fees, processing standards, administrative practices, and other information established, administered, or modified by governmental authorities are outside the control of the Service Provider and may be amended, replaced, suspended, or otherwise revised without prior notice to the Service Provider. Accordingly, notwithstanding reasonable efforts to maintain current and accurate information, such governmental changes may not be incorporated into or reflected on the Website immediately following their effective date.

The assistance provided by the Service Provider does not constitute a representation, warranty, or guarantee that any passport application will be accepted, approved, processed within a particular period, or result in the issuance of a passport. All determinations concerning passport eligibility, acceptance, processing, approval, and issuance remain within the authority and discretion of the U.S. Department of State and other applicable governmental authorities.

To the fullest extent permitted by applicable law, the Service Provider disclaims all warranties, representations, and conditions relating to the Website and services, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except for those warranties, rights, or obligations that cannot lawfully be excluded, restricted, or limited.

7. Limitation of Liability

To the fullest extent permitted by applicable law, neither the Service Provider nor its officers, employees, agents, affiliates, or service providers shall be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the use of the Website or services, including, without limitation, loss of profits, loss of business opportunities, loss of travel arrangements or related expenses, or other losses that are not the direct and reasonably foreseeable result of the performance of the services.

The Service Provider shall not be responsible for losses, delays, expenses, or other consequences resulting from acts, omissions, decisions, processing requirements, system interruptions, or administrative actions of governmental authorities or independent third parties that are outside the reasonable control of the Service Provider, including passport agencies, acceptance facilities, payment processors, and delivery or transportation providers.

Upon transfer of documents, application materials, or other items to an independent carrier or delivery provider for shipment, the transportation, handling, and delivery of such materials are thereafter subject to the carrier's custody, operations, and applicable terms. To the fullest extent permitted by law, the Service Provider shall not be liable for loss, theft, damage, delay, misdelivery, or unauthorized third-party access occurring while such materials are in the custody or control of the carrier, except to the extent that such loss results from an act or omission for which the liability of the Service Provider cannot lawfully be excluded or limited.

The Service Provider shall likewise not be responsible for losses or consequences attributable to inaccurate, incomplete, misleading, untimely, or unauthorized information or documentation supplied by a customer, or to the customer's failure to comply with applicable instructions, governmental requirements, submission procedures, or deadlines.

Except where liability may not lawfully be excluded or limited, the aggregate liability of the Service Provider arising out of or relating to any particular order, service, or transaction, regardless of the legal theory upon which a claim is based, shall not exceed the total amount of service fees actually paid by the customer to the Service Provider for the specific service giving rise to the claim.

Nothing in these Terms is intended to exclude, restrict, or limit any liability that cannot be excluded, restricted, or limited under applicable law.

8. Dispute Resolution, Arbitration and Class Action Waiver

Informal Resolution of Disputes. Before initiating arbitration or other formal legal proceedings, you and the Service Provider agree to make a reasonable, good-faith effort to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or the services provided. The party asserting a dispute shall provide written notice describing the nature of the claim and the relief requested and shall allow the other party a reasonable opportunity to investigate and attempt to resolve the matter.

Agreement to Arbitrate. Except for claims that may not lawfully be subject to arbitration, any dispute, claim, or controversy that cannot be resolved through the informal resolution process shall be resolved through final and binding individual arbitration rather than through a court proceeding. The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its applicable Consumer Arbitration Rules, as modified by these Terms and subject to applicable law.

By agreeing to arbitration, both you and the Service Provider understand and acknowledge that disputes subject to this provision will generally be determined by a neutral arbitrator rather than by a judge or jury. Nothing in this provision shall prevent either party from pursuing any claim, remedy, or relief that, under applicable law, may not be waived or required to be resolved through arbitration.

Individual Proceedings and Class Action Waiver. To the fullest extent permitted by applicable law, you and the Service Provider agree that covered disputes shall be brought and resolved solely on an individual basis and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, coordinated, or representative proceeding. An arbitrator shall have authority to grant relief only with respect to the individual parties and claims properly before the arbitrator, except where applicable law requires otherwise.

Arbitration Procedure and Location. Unless otherwise agreed by the parties or required by applicable law or the applicable AAA rules, arbitration shall be conducted in accordance with the procedures established by AAA for consumer disputes. The manner and location of the proceeding, including whether it may be conducted remotely, by written submissions, or in person, shall be determined in accordance with the applicable arbitration rules and legal requirements.

Arbitration Fees and Costs. Filing fees, administrative expenses, arbitrator compensation, and other costs associated with arbitration shall be allocated in accordance with the applicable AAA Consumer Arbitration Rules and applicable law. Nothing in these Terms is intended to require a consumer to bear fees or expenses that the consumer cannot lawfully be required to pay.

Right to Opt Out. You may opt out of this arbitration agreement by providing the Service Provider with written notice of your decision within thirty (30) days after your initial acceptance of these Terms. Such notice shall be submitted by email to [email protected], must reasonably identify you, and must clearly state your intention to opt out of the arbitration provision. Opting out of arbitration will not affect the validity or enforceability of the remaining provisions of these Terms.

Enforceability. If any portion of this dispute-resolution provision is determined to be invalid or unenforceable, that determination shall not invalidate the remaining provisions to the extent they may lawfully remain in effect. Nothing contained in this section is intended to restrict any right or remedy that cannot legally be waived, restricted, or subjected to arbitration under applicable law.

9. Applicable Law and Legal Jurisdiction

These Terms, and any claim, dispute, controversy, or cause of action arising out of, relating to, or connected with the Website, the services rendered hereunder, or any transaction contemplated by these Terms, shall be governed by, construed, and enforced in accordance with the laws of the State of California, without giving effect to any conflict-of-law principle that would require the application of the laws of another jurisdiction, except to the extent superseded or otherwise governed by applicable federal law.

With respect to any claim or proceeding that is not subject to, or is determined to fall outside the scope of, the arbitration provisions contained herein, such matter shall be submitted to a court of competent jurisdiction in accordance with applicable law. Nothing contained in this provision shall be construed as limiting or otherwise affecting any jurisdictional requirement or legal right that may not lawfully be waived or modified by agreement.

10. Indemnity and Protection Against Claims

To the fullest extent permitted by applicable law, each customer agrees to indemnify, defend, and hold harmless the Service Provider, together with its officers, directors, employees, agents, affiliates, contractors, and authorized representatives, from and against any third-party claims, demands, proceedings, liabilities, damages, losses, judgments, penalties, costs, and reasonable legal expenses arising out of or attributable to: (i) the customer's breach of these Terms; (ii) the submission of false, fraudulent, inaccurate, misleading, or unauthorized information, documents, photographs, or other materials; (iii) any unlawful or unauthorized use of the Website or services; (iv) the customer's violation of applicable law or regulation; or (v) the infringement, misappropriation, or violation of the rights of any third party.

The foregoing indemnification obligations shall apply only to the extent that the applicable claim, liability, loss, or expense results from circumstances attributable to the customer's acts, omissions, representations, submissions, or conduct, and shall not be construed to require indemnification for any matter for which such obligation would be prohibited or otherwise unenforceable under applicable law.

11. Prohibited Use, Fraud and Suspension of Services

The Website and services shall not be used for any unlawful, fraudulent, deceptive, unauthorized, or otherwise improper purpose. Customers are prohibited from submitting or attempting to submit false, altered, fabricated, misleading, stolen, or unlawfully obtained information, identification documents, photographs, application materials, payment information, or other records, or from using the services to impersonate another individual or act without the authorization legally required to do so.

Any attempt to interfere with the operation, security, integrity, or functionality of the Website or services, to obtain unauthorized access to systems, accounts, information, or records, or to use the services in a manner that violates applicable federal, state, or local law is strictly prohibited.

Where there exists a reasonable basis to suspect fraud, identity misuse, unauthorized activity, material misrepresentation, unlawful conduct, payment fraud, or a violation of these Terms, the Service Provider reserves the right, to the extent permitted by applicable law, to suspend processing, place an order on hold, request additional information or verification, restrict access to the services, decline an order, or terminate the provision of services.

The exercise of any such right shall not limit any other remedy available under these Terms or applicable law.

12. Events Beyond Reasonable Control

The Service Provider shall not be deemed to have breached these Terms, nor shall liability arise solely by reason of any delay, interruption, inability, or failure to perform an obligation to the extent such circumstances result from events beyond the Service Provider's reasonable control (a “Force Majeure Event”).

A Force Majeure Event may include, without limitation, natural disasters, severe weather conditions, fire, flood, earthquake, epidemic or public health emergency, acts of war or terrorism, civil disturbance, labor disputes, governmental actions or restrictions, government shutdowns, closure or interruption of governmental agencies or facilities, widespread failures of telecommunications or information systems, power outages, transportation interruptions, carrier or delivery-service disruptions, or other extraordinary circumstances that could not reasonably have been prevented or avoided through commercially reasonable measures.

Where such an event materially interferes with the performance of services, the affected obligations may be suspended or delayed for the duration of the event and for such additional period as may reasonably be necessary to restore normal operations. The Service Provider shall undertake commercially reasonable efforts, where practicable, to mitigate the effects of the disruption and resume the affected services.

For the avoidance of doubt, determinations made by governmental authorities concerning the acceptance, processing, approval, denial, rejection, or issuance of an individual passport application are addressed separately under the Disclaimer and Limitation of Liability provisions of these Terms and shall not, solely by virtue of such determination, constitute a Force Majeure Event.

Nothing contained in this provision shall operate to exclude, suspend, or limit any obligation or liability to the extent that such obligation or liability may not lawfully be excluded, suspended, or limited under applicable law.

13. General Legal, Administrative and Governmental Provisions

All content, materials, trademarks, graphics, designs, text, and other proprietary elements made available through the Website that are owned by the Service Provider shall remain the property of the Service Provider, while any third-party proprietary materials shall remain the property of their respective owners. Such materials may not be reproduced, distributed, modified, commercially exploited, or otherwise used without appropriate authorization.

By accessing or using the services, customers acknowledge that notices, confirmations, disclosures, records, and other service-related communications may be transmitted electronically, including by email or through the Website, to the extent permitted by applicable law.

These Terms, together with any policies expressly incorporated herein, constitute the entire agreement governing the applicable services and supersede any prior or contemporaneous understandings, representations, communications, or agreements concerning the same subject matter. If any provision of these Terms is determined by a competent authority to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Failure to exercise or enforce any right or remedy available under these Terms shall not constitute or be construed as a waiver of such right or remedy.

Neither the acceptance of these Terms nor the use of the Website or services shall be construed as creating any partnership, joint venture, employment, fiduciary, agency, or similar relationship between the customer and the Service Provider beyond the contractual relationship expressly established herein.

Neither party may assign or otherwise transfer its rights or obligations arising under these Terms except as permitted by applicable law or with any consent required hereunder. The Service Provider may amend or revise these Terms from time to time, subject to applicable law, with revised provisions becoming effective upon the date specified in the updated Terms or upon such notice or acceptance as may otherwise be legally required.

Nothing contained in these Terms shall be construed as restricting or preventing the Service Provider from complying with any lawful subpoena, court order, warrant, governmental directive, regulatory requirement, law-enforcement request, or other legally valid process relating to the use of the Website or services, or to information lawfully maintained in connection therewith. Any disclosure or cooperation undertaken pursuant to such process shall remain subject to applicable law and, where applicable, the provisions of the Privacy Policy.

Any formal notice or legal communication concerning these Terms shall be submitted through the contact information designated on the Website or through such other method as may be specified for legal notices.
